Any known problems going from Excel 2002 to Excel 2010

HI to All,
 
My company is transitioning to office 2010. Within this transition we will move from  Excel and Access 2002  to Excel and Access 2010.
I would like to know if there are any known issues we can expect as a result of this transition.  We do have Excel files
and Access Databases that contain VB code.
